1. Agreement to Terms
By accessing or using Find Your Freight's services, including our website, mobile applications, and platform (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.
These Terms constitute a legally binding agreement between you and Find Your Freight ("Company," "we," "our," or "us").
2. Definitions
- "Shipper" means a business that posts freight jobs for transportation.
- "Carrier" means a trucking company that assigns jobs to drivers.
- "Driver" means an individual who transports freight using our platform.
- "Job" means freight or cargo posted for transportation.
- "Assignment" means a Job assigned to a specific Driver.
3. User Accounts
3.1 Account Registration
To use certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 Account Types
Different account types have different permissions and responsibilities. By registering for a specific account type, you confirm that you meet all requirements for that account type.
4. Driver Requirements
If you use our Services as a Driver, you represent and warrant that:
- You hold a valid commercial driver's license (CDL) with appropriate endorsements
- You meet all federal, state, and local requirements to operate commercial vehicles
- You will maintain required insurance coverage
- You will comply with all Hours of Service (HOS) regulations
- You will not operate a vehicle while impaired by drugs or alcohol
4.1 Location Sharing Requirement
Important: Drivers must enable location sharing to accept and complete loads. This is required for shipment tracking, ETA calculation, and delivery verification. By accepting a load, you consent to sharing your location with authorized parties during the delivery.
5. Load Acceptance and Completion
5.1 Accepting Loads
When you accept a Load, you enter into a binding commitment to complete the delivery according to the specified terms. Failure to complete accepted Loads may result in penalties, reduced priority, or account suspension.
5.2 Releasing Loads
If you are unable to complete an accepted Load, you must release it through the app as soon as possible. Valid reasons for releasing a Load include:
- Vehicle breakdown or mechanical failure
- Medical emergency
- Unsafe conditions (weather, road closures)
- Shipper or receiver unavailability beyond reasonable wait times
- Other circumstances beyond your reasonable control
Frequent or unjustified load releases may affect your standing on the platform.
5.3 Proof of Delivery
Drivers must provide proof of delivery including photographs and recipient signature where required. Falsifying proof of delivery is grounds for immediate account termination.
6. Shipper Responsibilities
If you use our Services as a Shipper, you agree to:
- Provide accurate descriptions of freight including weight, dimensions, and hazmat status
- Ensure loads are properly packaged and secured
- Have freight ready at the specified pickup time
- Provide safe and accessible loading/unloading facilities
- Pay agreed-upon rates in accordance with payment terms
7. Payment Terms
Payment terms vary based on your account type and agreements. Shippers agree to pay for completed deliveries according to agreed-upon terms. Carriers and drivers are paid according to their agreements with carriers or direct shipper contracts.
Find Your Freight may charge service fees for use of the platform. These fees will be disclosed before you incur them.
8. Communications Consent
By using our Services, you consent to receive communications from Find Your Freight through various channels as described below.
8.1 SMS Text Messages
By providing your phone number and using our Services, you consent to receive SMS text messages from Find Your Freight. These messages may include:
- Load assignment and status notifications
- Pickup and delivery reminders
- Authentication codes and security alerts
- Messages from shippers, carriers, or dispatchers
- Service announcements and account updates
SMS Terms
Message frequency varies based on your activity. Message and data rates may apply. You can opt out of non-essential SMS messages at any time by replying STOP to any message. Reply HELP for assistance. Opting out of SMS may affect your ability to receive time-sensitive notifications. Note that transactional messages (such as authentication codes) cannot be disabled while your account is active.
8.2 Email Communications
By creating an account, you consent to receive email communications from Find Your Freight, including:
- Transactional emails (receipts, confirmations, account alerts)
- Service notifications and updates
- Product announcements and feature updates
- Marketing communications (with your consent)
You may unsubscribe from marketing emails at any time by clicking the "unsubscribe" link in any email or by updating your notification preferences in your account settings. Transactional emails are required for the proper functioning of your account and cannot be disabled.
8.3 Push Notifications
If you use our mobile application, you may receive push notifications about load updates, messages, and other time-sensitive information. You can manage push notification preferences in your device settings or within the app.
9. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose
- Transport prohibited or illegal materials
- Falsify delivery documentation or location data
- Circumvent or manipulate the platform's systems
- Harass, threaten, or harm other users
- Share account credentials or allow unauthorized access
- Interfere with the proper functioning of the Services
10. Limitation of Liability
Find Your Freight is a technology platform connecting shippers, carriers, and drivers. We are not a trucking company, broker, or freight forwarder. We do not take possession of or assume responsibility for freight.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIND YOUR FREIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
Our total liability for any claim shall not exceed the greater of $100 or the fees you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Find Your Freight, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.
13. Dispute Resolution
Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial or to participate in a class action lawsuit.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the app. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
